Corporate Counsel
Overview
A dynamic and fast-growing construction company is seeking a Corporate Counsel to provide comprehensive legal support across various business functions, including project development, construction, financing, and operations. This role is crucial in advising on legal matters, negotiating contracts, and ensuring compliance with relevant laws and regulations.
Key Responsibilities
- Draft, review, and negotiate key project and financing documents, including land use agreements, power purchase agreements (PPA), engineering, procurement, and construction (EPC) contracts, tax equity, and debt agreements.
- Support corporate governance and compliance for all U.S. entities.
- Manage relationships with outside counsel and oversee legal budgets.
- Collaborate with a global legal team and cross-functional business units to address legal issues and implement strategic initiatives.
Essential Duties
- Prepare and negotiate various legal documents, such as design and construction agreements, non-disclosure agreements, leases, joint venture agreements, and subcontractor contracts.
- Provide advice on contract compliance, risk management, dispute resolution, and project management for ongoing projects.
- Develop and implement legal strategies for potential disputes, including analyzing contract remedies, drafting demand letters, and negotiating resolutions.
- Work with outside counsel to manage disputes and facilitate early strategic resolutions.
- Participate in the development of corporate policies, procedures, and programs, providing ongoing counsel on legal matters and implications of company operations.

- Strong communication skills to effectively interact with internal teams, clients, and outside counsel.
- Ability to multitask with excellent analytical and legal skills.
- Understanding of business and operational needs, partnering with project-level employees and executives to develop creative strategies and solutions.
- Strong grasp of the interplay between legal and business risks.

Education and Experience
- Juris Doctor (JD) degree with admission to the bar in at least one U.S. state.
- Minimum of 3+ years of legal experience, ideally in the renewables, energy, or infrastructure sectors.
- Proven expertise in project development, mergers and acquisitions (M&A), and/or finance.
- Experience in litigation and contract drafting/negotiation is preferred.
Compensation
- Base pay range: $170,000 - $190,000, based on individual skill level and experience.
