Assistant General Counsel - M&A

Position Overview

A global technology company is seeking an experienced and proactive Assistant General Counsel, M&A to join its Legal Department. This role focuses on supporting a wide range of M&A activity, including cross‑border transactions and venture investments.

The ideal candidate brings strong experience in corporate transactional and M&A law, with a proven ability to manage complex deals end‑to‑end, draft and negotiate transaction documents, and lead due diligence efforts. This position plays a key role in advising senior leaders on major strategic initiatives.


Key Responsibilities

  • Lead and manage all aspects of M&A and corporate transactional matters, including mergers, acquisitions, joint ventures, and strategic investments
  • Advise senior management on complex domestic and cross‑border transactions
  • Lead legal due diligence, identifying and assessing material risks
  • Draft, review, and negotiate transaction documents, including purchase and investment agreements
  • Partner closely with external counsel and cross‑functional teams (finance, tax, HR, compliance) throughout deal execution
  • Advise on regulatory and compliance matters related to M&A activity, including antitrust, securities, and international considerations
  • Support post‑closing integration activities
  • Assist with general corporate governance and other legal matters as needed

Qualifications

  • Juris Doctor from an accredited law school
  • Active license and good standing with a U.S. state bar
  • 4+ years of experience in M&A and corporate transactional law
  • Demonstrated experience leading complex transactions from diligence through closing
  • Working knowledge of U.S. and international M&A regulations, including cross‑border and foreign investment considerations
  • Strong judgment and communication skills, with the ability to partner effectively with senior business leaders
  • Detail‑oriented, pragmatic, and comfortable operating in a fast‑paced, global environment

Preferred Qualifications

  • Experience supporting technology, semiconductor, or electronics businesses is a plus
