Overview:

A client is seeking a highly motivated and skilled Corporate Associate to join a dynamic practice focused on advising innovative businesses and investors across the technology sector. This role offers the opportunity to work on cutting-edge transactions and collaborate with leading entrepreneurs, venture capital firms, and public technology companies.

Key Responsibilities:

  • Represent technology companies and investors in a broad range of corporate and transactional matters.
  • Advise on venture financings (early and late-stage), mergers and acquisitions, and private and public offerings.
  • Serve as a trusted advisor to founders, executives, and boards on strategic and operational matters.
  • Draft, review, and negotiate complex agreements and transaction documents.
  • Manage substantial components of transactions independently while collaborating effectively within deal teams.
  • Coordinate due diligence, closing processes, and post-closing integration.
  • Work closely with colleagues in tax, IP, employment, and regulatory practices to deliver comprehensive solutions.

Qualifications:

  • Minimum 2+ years of corporate law experience at a top-tier law firm, with exposure to technology company transactions.
  • Strong drafting, negotiation, and analytical skills.
  • Ability to manage multiple projects and deadlines in a fast-paced environment.
  • Outstanding academic record from a reputable law school.
  • Relevant bar admission (or eligibility to obtain promptly).
  • Excellent written and verbal communication skills; ability to convey complex concepts clearly.
