Job Title: Senior Paralegal- Leading Asset Manager

Position Summary:

A leading Asset Manager is seeking Senior Paralegal to join their legal team. The ideal candidate will have 7-10 years of experience supporting legal functions related to investment structure charts, corporate entities, and the drafting of key legal agreements. This role is critical in supporting the legal and investment teams in the formation, maintenance, and governance of complex investment structures.

Key Responsibilities:

  • Legal Drafting & Documentation:
    • Draft and revise limited liability company agreements, limited partnership agreements, corporate resolutions, and related legal documents.
    • Assist in the preparation and review of side letters, subscription agreements, and governance documents.
  • Entity & Structure Management:
    • Maintain and update investment structure charts and organizational diagrams.
    • Support the formation, registration, and ongoing maintenance of corporate entities across multiple jurisdictions.
    • Coordinate with internal teams and external counsel to ensure compliance with regulatory and governance requirements.
  • Governance & Compliance Support:
    • Prepare and manage board and committee materials, including consents and meeting minutes.
    • Track and manage filing deadlines, regulatory submissions, and entity records.
  • Operational & Transactional Support:
    • Collaborate with investment professionals, operations, and compliance teams to support fund launches, restructurings, and transactions.
    • Maintain accurate records of legal and transactional documentation in internal systems.

Qualifications:

  • Bachelor's or Associate's Degree preferred; paralegal certification or legal studies preferred.
  • 7-10 years of experience in a legal assistant or paralegal role within asset management, private equity, or financial services.
  • Strong knowledge of investment structures, corporate entities, and legal documentation.
  • Proficiency in Microsoft Office Suite and legal document management systems.
  • Exceptional organizational skills and attention to detail.
  • Ability to manage multiple priorities and deadlines in a fast-paced environment.

Preferred Skills:

  • Experience with legal entity management platforms (e.g., Diligent Entities, GEMS).
  • Familiarity with U.S. and offshore fund structures (e.g., Delaware, Cayman Islands).
  • Strong interpersonal and communication skills.
