A U.S.-based semiconductor manufacturing company that delivers innovative solutions to help connect, protect, and power the world is seeking a Senior Corporate Paralegal to join the Office of the General Counsel. Their organization combines advanced technology leadership, systems-level expertise, and global manufacturing scale to solve complex technical challenges across high‑growth markets including consumer electronics, smart home/IoT, automotive, EVs, network infrastructure, healthcare, and aerospace/defense.

The Senior Corporate Paralegal will play a key role in supporting corporate governance, regulatory compliance, and public company reporting obligations. This individual will help maintain accurate corporate records, support preparation of SEC filings, manage entity data, and contribute to efficient legal department operations.

Key Responsibilities

  • Maintain and organize corporate governance documents, including subsidiary formation documents, certificates, organizational charts, and other entity-related records.
  • Assist with preparation, review, and coordination of SEC filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings, proxy statements, and other public company reporting documents.
  • Conduct legal and business research and prepare initial drafts of corporate governance materials such as resolutions, written consents, and meeting minutes.
  • Administer and manage legal technology tools, including CSC Entity Management and CounselLink eBilling systems.
  • Support attorneys with matter creation, invoice review and processing, accrual coordination, and other administrative or substantive tasks as assigned.
  • Collaborate with internal teams-including finance, accounting, and compliance-to coordinate information needed for legal reporting, budgeting, and invoicing.
  • Respond to requests for legal, governance, and entity information, ensuring timely and accurate delivery.
  • Participate in special projects focused on process improvement, operational efficiency, and legal department optimization.
