Corporate Paralegal
Job Summary:
Seeking a Corporate Paralegal to support a small, collaborative legal department. This role reports to the team's Corporate Secretary and will handle matters of corporate governance, compliance, SEC filings, subsidiary management, financings, M&A, and litigation support.
Key Responsibilities:
- Prepare and distribute Board/Committee agendas, materials, and minutes.
- Manage subsidiary formations, qualifications, dissolutions, and filings.
- Maintain corporate and subsidiary records.
- Assist with NYSE and SEC filings (Forms 3, 4, 5, 8-K, 10-K, 10-Q, Proxy Statements).
- Coordinate annual meeting materials and voting results.
- Support Code of Conduct training and compliance tracking.
- Assist with regulatory filings (e.g., FERC, mining permits).
- Organize documentation and closing for financings and M&A.
- Manage virtual data rooms for due diligence.
- Administer legal holds, discovery, and litigation documentation.
- Track Legal Department budget and vendor onboarding.
Requirements:
- Bachelor's degree
- Paralegal certificate
- Active public notary commission
- 5+ years as a corporate or transactional paralegal
- Corporate governance experience (e.g., board/committee materials, electronic board portals), contract management, litigation support, and document retention
- Familiarity with financing and M&A transactions
