Banking Counsel
A Global Investment Bank is in search of an attorney to add to its growing Texas legal presence and play a key factor in helping its investments team expand across the Americas. This growth hire presents a unique opportunity to join a name-brand organization and become a valued member of one of the bank's most integral groups. This role will be offered a market-competitive base + bonus compensation package, as well as hybrid flexibility.
Job Responsibilities:
- Serve as primary legal advisor for U.S. corporate lending and advisory businesses, including syndicated loans, leveraged finance, acquisition financing, and M&A transactions
- Provide secondary support for trade finance products such as letters of credit and working capital solutions
- Draft, review, and negotiate a broad range of transactional documents, including commitment letters, loan agreements, guarantees, intercreditor arrangements, security agreements, engagement letters, confidentiality agreements, and related legal opinions
- Collaborate with internal teams to structure transactions and mitigate legal and regulatory risk
- Support strategic initiatives and assist in developing standardized client-facing templates
- Manage relationships with external counsel and oversee legal spend
- Advise on U.S. regulatory requirements and ensure compliance with internal policies and risk frameworks
Job Qualifications:
- J.D. and active license to practice law in Texas
- 3+ years of experience in corporate lending and finance law at reputable law firm or financial institution
- Familiarity with leveraged finance, acquisition finance, and syndicated lending; experience in trade finance or M&A is a plus
- Strong understanding of banking regulations and compliance requirements
- Excellent drafting, negotiation, and communication skills
