Associate Corporate Attorney
A renewable energy company is hiring an Associate Corporate Attorney to join the legal team. This role will focus on supporting solar and battery storage transactions, with an emphasis on project finance and M&A.
This position involves direct engagement with internal teams and external stakeholders to support complex project financings and acquisitions. You'll be expected to manage deal execution, coordinate due diligence, and provide strategic input in addition to legal support.
Responsibilities
- Structure and negotiate project-level debt, tax equity, and refinancing
- Collaborating with internal finance, development, and engineering teams throughout negotiations
- Serve as primary liason with lenders, tax equity providers, investors, buyers, and sellers
- Draft and negotiate key transaction documents, including purchase agreements, loan documents, and partnership agreements
- Oversee outside counsel and provide directions to paralegals or contract staff on various legal matters
- Prepare and negotiate commercial contracts, including consulting / service agreements and power purchase agreements
- Advise leadership on legal terms, risks, and transaction strategy
- Lead legal workstreams for acquisitions and divestitures of renewable energy assets
Requirements
- J.D. from an accredited institution; active license to practice in at least one U.S. jurisdiction
- 5+ years of legal experience, with a background in renewable energy project finance and M&A
- Strong drafting and negotiation skills
- Experience with PPAs, EPCs, and procurement agreements is preferred
