Position Overview:

I am working with a leading health system in Connecticut who is looking to add a Senior Counsel to join their legal team, focusing on M&A and joint venture transactions in the healthcare sector. This role will play a critical part in supporting the organization's growth initiatives, including acquisitions, divestitures, strategic partnerships, and joint ventures involving hospitals, physician groups, and other healthcare entities.

Key Responsibilities:

  • Lead legal support for complex M&A and joint venture transactions from inception through post-closing integration.
  • Draft, review, and negotiate a wide range of transaction documents, including LOIs, purchase agreements, joint venture agreements, and governance documents.
  • Collaborate with internal stakeholders including corporate development, finance, compliance, and operations teams to ensure alignment and risk mitigation.
  • Conduct and oversee legal due diligence, identify key risks, and provide actionable recommendations.
  • Advise on healthcare regulatory issues including Stark Law, Anti-Kickback Statute, HIPAA, and state-specific healthcare laws.
  • Manage relationships with outside counsel and ensure cost-effective legal support.
  • Monitor legal and regulatory developments impacting healthcare transactions and provide proactive guidance to leadership.

Qualifications:

  • J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar (Connecticut preferred).
  • Minimum of 5 years of legal experience, at least 5 years focused on M&A and joint ventures in the healthcare industry.
  • In-house counsel experience or law firm experience advising healthcare clients strongly preferred.
  • Deep understanding of healthcare regulatory frameworks and transaction structuring.
