Our Client is a dynamic and rapidly growing mid-sized midstream oil and gas company headquartered in Houston, Texas. Their operations span across key U.S. basins, and they are committed to delivering safe, efficient, and sustainable energy infrastructure solutions. As they expand, they are seeking a highly skilled and motivated Senior Counsel to join their legal team and support their continued growth and regulatory compliance.
Position Summary
The Senior Counsel will play a critical role in advising on legal matters related to the company's midstream operations, including commercial agreements, regulatory compliance, and risk management. This position requires deep expertise in midstream agreements and a strong working knowledge of FERC and/or PHMSA regulations.
Key Responsibilities
- Draft, review, and negotiate a wide range of midstream commercial agreements, including transportation, gathering, processing, storage, and interconnection agreements.
- Provide legal counsel on regulatory matters involving the Federal Energy Regulatory Commission (FERC) and/or the Pipeline and Hazardous Materials Safety Administration (PHMSA).
- Monitor and interpret changes in federal and state laws and regulations affecting midstream operations.
- Collaborate with internal stakeholders including commercial, operations, compliance, and executive teams to ensure legal and regulatory alignment.
- Manage external counsel relationships and oversee litigation or regulatory proceedings as needed.
- Support due diligence and legal aspects of mergers, acquisitions, and joint ventures.
Qualifications
- J.D. from an accredited law school and active license to practice law in Texas (or ability to obtain promptly).
- Minimum of 5 years of legal experience with a focus on midstream oil and gas, including:
- Drafting and negotiating midstream agreements.
- Advising on FERC and/or PHMSA regulatory matters.
- Strong understanding of the midstream sector, including commercial and operational dynamics.
- Excellent analytical, communication, and interpersonal skills.
- Ability to work independently and collaboratively in a fast-paced environment.
Preferred Qualifications
- Prior in-house experience at a midstream or energy company.
- Experience with environmental and safety regulations applicable to pipeline operations.
- Familiarity with corporate governance and risk management practices.
