My client is seeking an experienced Senior Counsel M&A to join their team. This unique opportunity involves working with one of the leading networks of animal hospitals across the United States that is dedicated to revolutionizing veterinary medicine. With substantial backing from a top-tier private equity firm, this role plays a pivotal part in shaping advanced healthcare solutions for companion animals while providing unparalleled support and resources to veterinary professionals.
Key Responsibilities:
- Structure, draft, and negotiate various transaction-related documents, including asset purchase agreements and employment agreements.
- Lead comprehensive legal due diligence to identify and mitigate liabilities, ensuring compliance with state and federal veterinary regulations.
- Provide strategic guidance to optimize deal structures for financial and regulatory advantages, and advise on regulatory compliance.
- Collaborate cross-functionally to ensure effective post-acquisition integration while maintaining compliance.
- Develop scalable operational frameworks to support the expanding network of veterinary practices and monitor industry trends to shape the M&A strategy.
Ideal Candidate Skills:
- Juris Doctor (JD) degree from an accredited law school and active licensure to practice law in any state.
- Minimum of 10 years of relevant M&A experience, including transaction structuring, due diligence, and negotiation.
- Preferred in-house legal experience in a corporate environment or law firm specializing in M&A, with familiarity in the veterinary or healthcare industry.
