Senior Commercial Lending Attorney

A leading finance boutique firm is seeking an experienced commercial lending attorney to join its Banking and Financial Services practice. This is a senior‑level opportunity for an attorney who enjoys taking ownership of complex transactions, working directly with clients, and playing a meaningful role in deal execution and team collaboration.

The ideal candidate will bring significant experience advising lenders and or borrowers on sophisticated financing matters and will be comfortable serving as a primary deal lawyer on transactions across the middle and upper middle market.

Commercial Lending Attorney Responsibilities:

  • Lead and manage complex commercial lending transactions from initial structuring through closing
  • Draft, negotiate, and review primary and ancillary financing documentation, including credit agreements, commitment papers, intercreditor and subordination agreements, agreements among lenders, mezzanine and second‑lien facilities, amendments, waivers, and forbearance agreements
  • Advise clients on leveraged finance and sponsor‑backed acquisition financings
  • Analyze acquisition and transactional documents and assess implications for related credit facilities
  • Represent banks and non‑bank lenders, as well as borrowers, in bilateral, club, and syndicated financings
  • Coordinate with internal team members and external parties to drive transactions forward efficiently and meet client timelines
  • Build and maintain strong client relationships through responsive, practical, and business‑oriented advice

Commercial Lending Attorney Qualifications:

  • Approximately 7 to 12 years of relevant commercial lending or finance experience
  • Background advising lenders and or borrowers in commercial finance transactions gained at a law firm, financial institution, direct lender, or other finance company
  • Demonstrated ability to serve as lead or first‑chair attorney on complex financing deals
  • Strong drafting, negotiation, and issue‑spotting skills across a broad range of credit documentation
  • Excellent communication, analytical, and writing abilities
  • Ability to manage multiple matters simultaneously in a fast‑paced, deadline‑driven environment
  • Collaborative mindset and strong interpersonal skills
  • Strong academic credentials
  • Admission to at least one U.S. jurisdiction, or eligibility to waive into the applicable bar
