Senior Legal Counsel - Leveraged Finance (8+ PQE)
Our client is a leading financial institution, and they are seeking an experienced leveraged finance lawyer to join its London-based legal team. This is a strategically important legal role focused on supporting the execution of sophisticated financing transactions across multiple jurisdictions, supporting the origination and execution of complex cross-border debt transactions, including acquisition finance, unitranche, second lien, TLBs, and high-yield bonds.
Key Responsibilities:

Provide strategic legal guidance on wholesale banking matters governed by English law, supporting both UK operations and international branches

Lead the drafting, negotiation, and review of key financing documents, including facility agreements, inter creditor arrangements, mandate letters, and term sheets

Advise on the structuring and execution of sponsor-led leveraged finance transactions across the UK and Europe

Ensure legal and regulatory compliance across all transactions, managing risk in line with internal policies and market standards

Monitor UK regulatory developments and assess their impact on financing activity, ensuring contracts remain compliant

Contribute to broader debt finance initiatives, including fund finance, real estate, project finance, and structured credit transactions

Collaborate with internal stakeholders and external counsel across multiple jurisdictions to support seamless deal execution

Develop and maintain internal precedents and provide training to non-legal teams on leveraged finance documentation and legal risk
Candidate Profile:

Extensive experience in leveraged finance, ideally gained at a top-tier law firm; in-house experience advantageous

Commercially astute with excellent stakeholder management and drafting skills

Comfortable working under pressure and managing competing priorities

Qualified solicitor in England & Wales with 10+ years' PQE

Familiarity with banking and finance regulation

Strong command of LMA documentation and cross-border financing structures
