Lead Reinsurance Counsel - Life & Annuities Insurance Company
A Global Life & Annuities Firm is actively seeking a Senior Counsel to provide hands-on legal oversight to their growing Institutional business. Reporting directly to the firm's General Counsel, this individual will be stepping into a leadership role with high visibility across the entire business.
This individual will be responsible for handling a variety of matters, primarily focused on Reinsurance Transactions and Treaties, Corporate Governance, and navigating Regulatory developments/concerns. The ideal candidate has over 15 Years of Experience in the Insurance/Reinsurance space, as well as significant leadership experience.
Responsibilities:
- Advise senior leadership on Reinsurance Transactional matters as related to the Life & Annuity industry; including but not limited to pension risk transfer, capital markets, securitizations, and more.
- Remain updated on developments within the Regulatory landscape both domestically and internationally, interface directly with regulators, and advise the business accordingly.
- Advise on public and private securities matters; oversee the structuring and negotiation of high-stakes transactions, ensure compliance with regulatory requirements.
- Work cross-functionally across the business - liaise with business deal teams, compliance, executive leadership, various external parties, and more.
- Act as lead legal advisor across the firm's Life & Annuity portfolio, overseeing Facultative, Treaty, Captive, and Affiliative Reinsurance arrangements with both internal and external agents.
Qualifications:
- JD or equivalent from an accredited institution; admitted to practice law in the United States.
- Over 15 Years of Experience handling legal responsibilities within the Insurance/Reinsurance industry; strong preference for experience within major institutions, particularly in the life & annuity space.
- Strong transactional experience; familiarity with capital markets, reinsurance, and various other transactional structures.
- Leadership experience; comfortable liaising with senior business leadership, advising on transactional matters, regulatory developments, and more.
- Strong familiarity with international regulatory frameworks, particularly within Bermuda, UK, and other relevant jurisdictions.
