About the Role
Key Responsibilities
- Advise on the establishment, structuring and operation of a range of investment funds.
- Draft and negotiate fund documentation, including:
- Limited Partnership Agreements (LPAs)
- Subscription agreements
- Side letters
- Investment management agreements
- Carried interest and incentive arrangements
- Support sponsor clients throughout fundraising processes.
- Advise on UK and European regulatory matters affecting investment funds and asset managers.
- Assist with secondary transactions, restructurings and fund-related M&A projects.
- Conduct legal and regulatory due diligence.
- Liaise directly with clients, investors, regulators and external counsel.
- Participate in business development, client pitches and thought leadership initiatives.
Candidate Profile
- Qualified solicitor in England & Wales or another recognised common law jurisdiction.
- NQ-4 years' PQE gained at a leading law firm, international practice or specialist funds team.
- Experience advising on investment funds, private funds, asset management or related corporate transactions.
- Strong drafting, negotiation and project management skills.
- Excellent academic record.
- Commercially minded with a client-focused approach.
- Strong interpersonal and communication skills.
- Ability to manage multiple workstreams in a fast-paced environment.

- Real estate or infrastructure funds.
- Luxembourg or offshore fund structures.
- FCA regulatory framework and asset management regulations.
