An international bank with a growing North American platform is seeking a Debt Capital Markets Attorney to join its legal team. This is a high‑impact, front‑office-facing role advising on a wide range of U.S. and cross‑border debt capital markets transactions and working closely with business, compliance, and global legal colleagues.

The Role

You will serve as a trusted legal advisor to the bank's Debt Capital Markets business, supporting the execution and structuring of complex capital markets transactions across multiple products and jurisdictions. The role offers significant visibility, responsibility, and the opportunity to contribute to an expanding U.S. platform within a global organization.

Key Responsibilities

  • Advise on investment‑grade and high‑yield debt offerings, including Rule 144A and Regulation S transactions
  • Draft, review, and negotiate offering documents, underwriting agreements, and related transaction materials
  • Lead and manage liability management transactions, including tenders, exchanges, and consent solicitations
  • Partner closely with bankers, compliance, and risk teams to identify and manage legal and regulatory issues
  • Coordinate with external counsel and internal stakeholders across the U.S., UK, and other jurisdictions
  • Support product development initiatives and new business structures as the platform continues to grow
  • Monitor and advise on U.S. securities law developments impacting the Debt Capital Markets business

Qualifications

  • J.D. from a top law school and active U.S. bar admission (New York preferred)
  • Typically 5-10+ years of relevant experience in Debt Capital Markets
  • Background at a leading law firm and/or in‑house at a financial institution or investment bank
  • Strong experience with public and private debt offerings, disclosure drafting, and transaction execution
  • Working knowledge of the Securities Act of 1933, Exchange Act of 1934, and related regulations
  • Ability to operate autonomously in a fast‑paced, transaction‑driven environment
  • Excellent judgment, communication skills, and a commercial, solutions‑oriented mindset
