Corporate Paralegal

We are partnering with a Software Development company that is a leading provider of AI and BI software for enterprises that is looking to fill a Corporate Paralegal position on their legal team. As a Corporate Paralegal, you will focus on SEC reporting and corporate governance matters, while also supporting legal operations, litigation, and commercial contracting initiatives with strong knowledge on EDGAR. You will report to the VP & Associate General Counsel (Corporate Governance & Securities), with exposure to multiple areas of the business.

Key Responsibilities

  • SEC Reporting & Compliance
    • Assist in preparing and coordinating filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings (Forms 3, 4, 5), Proxy statements and other disclosures
    • Support public company reporting processes and ensure compliance with SEC and exchange requirements
    • Coordinate international securities filings and disclosures with internal teams and external counsel
  • Corporate Governance
    • Maintain corporate records and entity documentation
    • Support board and committee operations, including, meeting materials, minutes and consents, governance documentation
  • Legal Research & Projects
    • Conduct research on corporate, governance, and securities matters
    • Prepare clear and concise summaries and memoranda
  • Commercial Contracting
    • Assist with drafting and negotiating NDAs and low-to-moderate complexity contracts under attorney supervision
  • Project Management
    • Track key deadlines, filings, and deliverables
    • Coordinate across stakeholders to ensure timely execution

Qualifications/Qualities

  • Bachelor's degree and/or ABA-approved paralegal certificate (or equivalent experience)
  • 2+ years of corporate paralegal experience ideally at a public company supporting public company clients at a law firm
  • Hands-on experience with SEC filings (10-K, 10-Q, 8-K, Section 16 forms)
  • EDGAR filing tools and processes
  • Strong understanding of corporate governance and public company practices
  • Experience managing Corporate records, Board materials, Entity documentation
