We are seeking a talented and detail-oriented Financial Services Associate Attorney with a focus on transactional matters to join our client's expanding Financial Services practice. The successful candidate will work on sophisticated transactions involving banks, non-bank lenders, fintech companies, investment advisers, and other regulated financial entities.

This is an excellent opportunity for a mid-level associate to gain experience working with a collaborative team on a broad range of financial services and regulatory transactions.

Assocaite Attorney Key Responsibilities:

  • Structure, draft, and negotiate a wide range of financial transactions, including credit facilities, asset-based loans, secured and unsecured lending, and structured finance deals.

  • Assist clients with M&A transactions involving regulated financial entities, including due diligence, regulatory approvals, and transactional documentation.

  • Counsel clients on compliance and licensing issues related to lending, payment processing, money transmission, and consumer finance.

  • Work closely with regulatory specialists to ensure transactions align with applicable federal and state laws, including the Bank Holding Company Act, Dodd-Frank Act, and state lending statutes.

  • Review and draft investment management agreements, loan purchase and sale agreements, servicing agreements, and intercreditor agreements.

  • Provide day-to-day legal support to financial services clients on transactional and commercial matters.

Associate Attorney Qualifications:

  • J.D. from an accredited law school and active bar membership in good standing

  • 2-6 years of relevant experience in transactional work within the financial services sector, preferably at a law firm or in-house at a bank, lender, or fintech.

  • Solid understanding of financial products, lending structures, and regulatory frameworks affecting banks and non-bank financial institutions.

  • Excellent drafting, negotiation, and communication skills.

  • Ability to manage multiple transactions simultaneously in a fast-paced environment.

  • Experience working with or on behalf of fintechs, private credit providers, or private equity firms is a plus.
