Overview
A leading global asset manager is seeking a Senior Corporate Paralegal to join its in-house legal team. This individual will play a key role in supporting corporate governance processes, managing a large portfolio of legal entities, and overseeing contract workflows, including NDA administration. The role offers exposure to a sophisticated, international platform and close collaboration with legal and business stakeholders.
Responsibilities
- Support corporate governance activities, including preparation of board materials, resolutions, minutes, and officer certifications
- Maintain and manage corporate records and minute books across domestic and international entities
- Oversee entity lifecycle management, including formations, dissolutions, restructurings, and annual filings
- Manage and update corporate entity databases, ensuring accuracy of organizational structures and ownership details
- Coordinate with internal stakeholders and outside counsel on governance and entity-related matters
- Administer NDA workflows, including drafting, reviewing, tracking, and maintaining agreements in contract management systems
- Support broader contract management processes, ensuring timely execution and compliance with internal policies
- Assist with regulatory filings, audit requests, and KYC-related documentation as needed
- Partner with cross-functional teams (compliance, finance, tax) to support ongoing legal and operational initiatives
Qualifications
- Minimum 4+ years of experience as a corporate paralegal (in-house or law firm)
- Strong experience in corporate governance and entity management (domestic and ideally international entities)
- Proven experience managing NDA workflows and contract administration processes
- Familiarity with corporate records management systems and entity management platforms
- High attention to detail with strong organizational and project management skills
- Ability to manage multiple priorities in a fast-paced, team-oriented environment
- Bachelor's degree and/or paralegal certificate preferred
