One of the oldest operating law firms with a top-tier reputation in Capital Markets and Structured Finance is seeking talented Real Estate Associates to join its Capital Markets department out of their New York City office. This is a unique opportunity to work on some of the most sophisticated and high-profile commercial mortgage-backed securitization (CMBS) transactions in the market. You'll be part of a lean and collaborative team who advises leading investment banks, private equity firms, and institutional lenders on the origination, syndication, and securitization of commercial mortgage and mezzanine loans. Key Responsibilities
- Represent clients in the origination and securitization of commercial mortgage loans, mezzanine loans, and related structured products.
- Draft and negotiate transaction documents including loan agreements, intercreditor agreements, and securitization documents.
- Conduct legal due diligence on commercial real estate assets and loan portfolios.
- Collaborate with cross-functional teams including tax, regulatory, and capital markets specialists.
- Advise clients on market trends, deal structures, and risk mitigation strategies.
Qualifications
- JD from an ABA accredited law school and admission / good standing with the New York Bar
- Minimum of 2+ years of experience in commercial real estate finance, structured finance, or related transactional practice.
- Strong understanding of CMBS, CRE CLOs, and/or mezzanine loan structures preferred.
- Strong General Finance Associates can be considered as well if they are interested in transitioning to a Capital Markets group.
