Fund Formation Attorney
Overview
An established investment‑focused legal practice is seeking a Fund Formation Attorney to support a broad range of private investment fund matters. This role involves advising sponsors and management teams on the formation, structuring, and ongoing operation of private investment funds, with regular exposure to sophisticated transactions and clients. The position offers meaningful responsibility, direct involvement in fund launches, and the opportunity to work closely within a collaborative transactional group. The organization is open to the right candidate sitting remote.
Responsibilities
- Advise on the formation and structuring of private investment funds, including private equity, real estate, credit, venture capital, and other alternative investment vehicles
- Draft and negotiate fund formation documents, including private placement memoranda, limited partnership agreements, operating agreements, subscription documents, and side letters
- Counsel sponsors and managers on fund structuring, governance, and operational issues
- Support investor negotiations and address regulatory and compliance considerations related to fund formation
- Assist with related matters such as co‑investment arrangements, GP‑led transactions, and secondary transactions
- Coordinate with tax, regulatory, and transactional colleagues to deliver integrated, business‑oriented advice
- Help manage fund closings and ongoing sponsor and investor relationships
Qualifications
- 3+ years of experience working on private investment fund formation matters
- Experience with private equity, real estate, credit, venture capital, or similar investment strategies
- Strong understanding of fund structures, investor relations, and governance considerations
- Excellent drafting, organizational, and analytical skills
- Ability to manage multiple matters in a fast‑paced transactional environment
- Strong communication skills and a collaborative, client‑focused approach
- Strong academic credentials
- Admission to a U.S. jurisdiction (or eligibility to waive in, where applicable)
