Emerging Companies & Venture Capital (ECVC) Attorney

A leading client is looking to add a mid-level attorney to its nationally recognized Emerging Companies & Venture Capital (ECVC) practice in San Francisco or Los Angeles. This role is ideal for an attorney with strong AmLaw firm training who is looking to work closely with high-growth startups, founders, and leading venture capital investors across all stages of the company lifecycle.

You will play a key role advising innovative companies-from formation through exit-as well as institutional investors in financings and strategic transactions.

Key Responsibilities

  • Advise start-up and high-growth companies on:
    • Entity formation and structuring
    • Corporate governance and day-to-day matters
    • Commercial agreements
  • Represent companies and investors in venture capital financings, including:
    • Seed, Series A, Series B, and later-stage rounds
    • SAFEs, convertible notes, and preferred equity investments
  • Counsel venture capital funds and strategic investors on portfolio company investments
  • Support M&A transactions and exit events, including strategic acquisitions and IPO readiness
  • Partner directly with founders, executives, and investors as a trusted advisor
  • Collaborate with cross-functional teams (tax, IP, employment) to deliver holistic legal solutions

Qualifications

  • 3+ years of corporate experience at an AmLaw 100 or 200 firm
  • Demonstrated experience in ECVC, venture financings, and/or startup representation
  • Strong familiarity with market terms for venture-backed financings and emerging company lifecycle issues
  • Strong academic credentials from a top-tier law school
  • Admission to, or eligibility for, the California Bar

Preferred Experience

  • Direct experience advising technology, life sciences, or consumer startups
  • Experience working with founders and early-stage companies
  • Familiarity with cap table management and venture documentation (NVCA forms)
