Director, Structured Products Counsel - Premier Investment Bank
Our client, a leading investment bank, is seeking a senior attorney to lead legal support for its structured products business across the Americas. This person will be the primary legal partner to the business, advising on the issuance and distribution of structured notes and other investment products linked to a range of asset classes.
Working closely with teams across the wider business you'll help navigate complex transactions, provide practical regulatory guidance, and support the day-to-day execution of a high-volume structured products platform. The role also offers the opportunity to lead and develop a team while helping shape legal strategy, processes, and governance for a key business within the organization.
Job Responsibilities
- Lead and mentor a team of attorneys and legal professionals supporting structured products activity throughout the Americas.
- Serve as a trusted legal advisor to the business on the structuring, issuance, distribution, and lifecycle management of structured notes and related investment products.
- Provide legal guidance on SEC-registered offerings, Rule 144A transactions, Regulation S offerings, and other capital markets transactions.
- Review and negotiate offering documents, prospectus supplements, distribution agreements, marketing materials, and other transaction-related documentation.
- Partner closely with Structuring, Sales, Trading, Compliance, Risk, Tax, and Operations teams to support the timely execution of transactions while maintaining appropriate legal and regulatory oversight.
- Advise on U.S. securities laws, disclosure requirements, broker-dealer regulations, and other regulatory matters impacting the structured products business.
- Help drive improvements to legal processes, documentation standards, templates, and governance frameworks.
- Monitor legal and regulatory developments affecting structured products and provide practical guidance on business impact and implementation.
- Participate in new product initiatives, governance committees, and strategic projects across the broader markets platform.
- Support the development of internal policies, training programs, and best practices for legal and business stakeholders.
Qualifications:
- J.D. and admission to practice law in New York
- 10+ years of relevant legal experience gained at a leading law firm and/or financial institution.
- Significant experience advising on structured products, structured notes, or related capital markets transactions.
- Strong understanding of U.S. securities laws, disclosure requirements, broker-dealer regulations, and the legal framework governing structured products.
- Experience supporting SEC-registered offerings, Rule 144A transactions, Regulation S offerings, and other securities issuances.
- Demonstrated ability to provide practical legal advice on complex transactions while balancing commercial objectives with legal and regulatory risk.
- Proven experience leading, developing, and mentoring attorneys or legal teams.
- Strong stakeholder management skills with the ability to partner effectively with senior business leaders and control functions.
- Experience working in a fast-paced markets, investment banking, or capital markets environment.
- Exposure to equity-linked products, OTC derivatives, ISDA documentation, or related derivatives transactions is a plus.
