Corporate Tax Attorney Responsibilities:
- Serve as a key strategic tax advisor on complex corporate transactions, including mergers and acquisitions, spin-offs, reorganizations, and private equity deals.
- Design and implement tax-efficient structures for domestic and cross-border transactions, including leveraged buyouts, recapitalizations, and joint ventures.
- Advise clients on U.S. federal income tax planning, partnership and corporate tax matters, and compliance with evolving tax regulations.
- Collaborate closely with M&A, finance, benefits, and executive compensation teams to align tax strategies with commercial objectives.
- Provide guidance on tax aspects of financings, rollover equity investments, minority interest investments, and executive compensation arrangements.
- Stay current on developments in tax law and contribute thought leadership through client advisories and industry publications.
Corporate Tax Attorney Qualifications:
- 7+ years of experience in corporate tax law
- Deep expertise in tax aspects of M&A, spin-offs, reorganizations, and private equity transactions.
- Outstanding technical knowledge of U.S. federal income tax and partnership/corporate tax planning.
- Strong academic credentials; LL.M. in Taxation and/or CPA preferred.
- Prior experience at a large law firm or Big 4 accounting firm or government service
