The Opportunity

Our client is seeking an Associate Counsel to join their team in Garden City, NY. This is a high-impact, in-office role supporting major infrastructure and renewable energy projects across the U.S. The position will work closely with business, development, and leadership teams to handle complex contracting, project development, and corporate legal matters.

Key Responsibilities

  • Structure, draft, and negotiate complex EPC contracts, equipment supply agreements, and joint venture or consortium agreements.
  • Provide legal support for project development, including due diligence, regulatory review, and documentation for renewable energy initiatives.
  • Draft and negotiate agreements related to corporate transactions, including M&A and strategic projects.
  • Oversee and standardize routine contracting processes such as MSAs, NDAs, MOUs, and LOIs.
  • Advise operational and business development teams on legal risks and contract strategy.
  • Support corporate governance matters, including board documentation and subsidiary compliance.
  • Assist with post-closing integration and ongoing corporate legal needs.

Qualifications

  • Juris Doctor (JD) required.
  • Licensed to practice law in New York or eligible for immediate in-house admission.
  • 4-7 years of commercial transactional experience.
  • Strong background in construction, infrastructure, utilities, or renewable energy sectors.
  • Proven experience negotiating complex construction and equipment supply agreements.
  • Excellent contract drafting, risk assessment, and business judgment skills.
  • Ability to manage multiple high-volume transactions in a fast-paced environment and collaborate across teams.
