About the Role
The Associate Counsel will be a key member of a growing investment management firm, providing legal and compliance support across multiple real estate investment funds and affiliated entities. This role offers the opportunity to work closely with senior leadership, manage regulatory filings, support fund formation, drive transaction execution, and uphold strong governance across the organization. The ideal candidate will be a detail‑oriented, proactive attorney with experience in real estate finance, securities compliance, and corporate governance.
Key Responsibilities
- Oversee regulatory and compliance matters, including SEC filings, and updates to compliance policies and procedures.
- Review/approve marketing and investor materials for securities law compliance.
- Conduct legal due diligence for real estate investments, including title and lien review.
- Draft and support fund formation documents and oversee entity governance.
- Coordinate transaction closings and support asset management, including covenant monitoring.
- Assist investor relations with KYC/AML reviews and investor documentation.
Required Qualifications
- J.D. from an accredited law school.
- Active member in good standing of the State Bar of California (or eligible for California Registered In‑House Counsel status).
- 2-3 years of relevant legal experience, ideally within a law firm real estate or corporate group or an in‑house role in real estate, private equity, or investment management.
- Strong understanding of real estate finance, securities regulation, fund formation, and corporate governance.
