Transactions Counsel
Job Summary
A leading manufacturing and aerospace organization is seeking an In-House Counsel to support its sales, procurement, and supply chain operations. This role will serve as a strategic legal advisor to business stakeholders, providing practical guidance on a wide range of domestic and international commercial transactions involving the sale and purchase of goods and services.
The successful candidate will work closely with cross-functional teams to support business objectives, manage legal risk, and negotiate complex commercial agreements. This position requires an attorney who is business-oriented, proactive, solution-focused, and comfortable operating in a fast-paced manufacturing environment.
Key Responsibilities
- Serve as a key point of contact for legal matters related to commercial transactions.
- Collaborate with business leaders and cross-functional teams to provide practical legal guidance and support strategic business initiatives.
- Advise on contract terms, risk allocation, and negotiation strategy.
- Draft, review, and negotiate a variety of commercial agreements, including sales, procurement, supply chain, manufacturing, and service contracts.
- Support domestic and international transactions involving customers, suppliers, and business partners.
- Develop and deliver training on legal, regulatory, and compliance topics.
- Assist with other legal matters and projects as needed.
Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Licensed to practice law in at least one U.S. jurisdiction.
- Approximately 3-6 years of law firm and/or in-house experience supporting commercial transactions, procurement, intellectual property, government contracts, or related areas.
- Strong experience drafting, reviewing, and negotiating complex commercial agreements.
- Knowledge of domestic and international commercial transactions.
- Familiarity with UCC contract principles, procurement practices, and supply chain agreements.
- Exposure to government contracting and Federal Acquisition Regulation (FAR) requirements is preferred.
- Understanding of anti-corruption, anti-money laundering, and related compliance considerations.
- Ability to identify legal and business risks and develop practical, commercially focused solutions.
- Strong communication, stakeholder management, and relationship-building skills.
- Proven ability to manage multiple priorities independently while maintaining a high level of professionalism and ethical judgment.
Preferred Experience
- Experience supporting manufacturing, aerospace, transportation, industrial, or highly regulated industries.
- Exposure to asset sales, registration requirements, ownership structures, or complex equipment transactions.
- Experience working with international operations and cross-border commercial matters.
