Senior Transactional Counsel
- Draft, review, and negotiate complex finance and credit agreements, including secured lending documents, revolving credit facilities, and other debt instruments.
- Manage corporate governance matters such as preparation and review of board and shareholder resolutions, corporate minutes, and entity maintenance and compliance.
- Draft and negotiate vendor contracts, service agreements, nondisclosure agreements, and other commercial contracts routinely used in corporate operations.
- Provide clear legal advice to internal business teams regarding contractual obligations, risk management, and compliance issues.
- Support corporate transactions including mergers, acquisitions, joint ventures, and other strategic initiatives, coordinating with external counsel as necessary.
- Maintain legal records and ensure adherence to internal policies and applicable laws.
- Juris Doctor from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- 5+ years of legal experience, with a focus on finance and corporate governance matters.
- Prior in-house experience preferred; candidates with strong law firm backgrounds and demonstrated leadership will also be considered.
- Renewable energy industry experience is a plus but not required.
- Proven ability to work independently while collaborating across departments and managing external legal.
- Experience managing corporate governance and entity compliance for multi-jurisdictional companies preferred.
- Strong organizational skills and ability to manage multiple priorities efficiently.
