Senior Transactional Counsel
A renewable energy company based is seeking a Senior Transactional Counsel with a minimum of 5 years of legal experience to join their team. This role requires direct experience in negotiating and drafting finance agreements, credit agreements, corporate governance documentation, vendor contracts, and nondisclosure agreements.
While experience in renewable energy is not required, familiarity with complex commercial transactions and corporate legal matters is essential.

Responsibilities:
  • Draft, review, and negotiate complex finance and credit agreements, including secured lending documents, revolving credit facilities, and other debt instruments.
  • Manage corporate governance matters such as preparation and review of board and shareholder resolutions, corporate minutes, and entity maintenance and compliance.
  • Draft and negotiate vendor contracts, service agreements, nondisclosure agreements, and other commercial contracts routinely used in corporate operations.
  • Provide clear legal advice to internal business teams regarding contractual obligations, risk management, and compliance issues.
  • Support corporate transactions including mergers, acquisitions, joint ventures, and other strategic initiatives, coordinating with external counsel as necessary.
  • Maintain legal records and ensure adherence to internal policies and applicable laws.
Qualifications:
  • Juris Doctor from an accredited law school and active bar membership in at least one U.S. jurisdiction.
  • 5+ years of legal experience, with a focus on finance and corporate governance matters.
  • Prior in-house experience preferred; candidates with strong law firm backgrounds and demonstrated leadership will also be considered.
  • Renewable energy industry experience is a plus but not required.
  • Proven ability to work independently while collaborating across departments and managing external legal.
  • Experience managing corporate governance and entity compliance for multi-jurisdictional companies preferred.
  • Strong organizational skills and ability to manage multiple priorities efficiently.
