Senior Private Funds Counsel
Our client, a well-regarded investment management firm that is expanding its private markets platform and looking to add a senior attorney to support both fund formation and investment activity.
This is a highly visible role that sits at the intersection of legal, investments, and business leadership. The individual will play a key role in helping structure private investment vehicles, execute transactions, and provide day-to-day legal guidance to investment professionals.
Job Responsibilities:
- Supporting the formation and launch of private funds, co-investment vehicles, and SPVs.
- Drafting and negotiating fund documentation, investor agreements, side letters, and related commercial contracts.
- Advising on private investments across a variety of asset classes and helping drive transactions through diligence, negotiation, and closing.
- Working closely with investment, tax, compliance, and finance teams on complex investment matters.
- Helping build and scale legal infrastructure around a growing private markets business.
- Providing practical, business-oriented advice directly to senior stakeholders and investment professionals.
Qualifications:
- 4+ years of legal experience gained at a leading law firm, asset manager, private credit platform, private equity firm, or investment adviser.
- Experience with private fund formation, including sponsor-side work.
- Exposure to private investments, co-investments, secondaries, joint ventures, or other strategic transactions.
- Familiarity with the Investment Advisers Act and broader asset management regulatory considerations.
- Commercial mindset with the ability to operate independently and wear multiple hats.
