Job Description

We are seeking an attorney with securities and corporate governance experience to join this growing legal team and report in directly to the General Counsel. This position will require a strong knowledge in SEC reporting and public company compliance while partnering with executive leadership to ensure compliance across the organization.

Key Responsibilities

  • Lead SEC filings (10-K, 10-Q, 8-K, proxy statements, Section 16).
  • Oversee disclosure processes and compliance with Reg FD, insider trading policies, and NYSE standards.
  • Partner with Finance, Investor Relations, and Communications on compliance matters.
  • Coordinate board, committee, and shareholder meetings, including agendas, minutes, and follow-up actions.
  • Maintain corporate records and ensure compliance with legal and regulatory requirements.
  • Advise on governance best practices and manage board operations (calendars, resolutions, logistics).
  • Manage domestic and international subsidiaries, filings, and records.
  • Coordinate with outside counsel on global governance requirements.
  • Provide legal support for M&A, financing, and other corporate transactions.

Experience

  • J.D. and Illinois license (or eligible for in-house registration).
  • 3+ years of experience in securities and corporate governance law.
  • Expertise in SEC regulations, Sarbanes-Oxley, and NYSE rules.
  • Strong leadership and communication skills.
