Securities & Corporate Governance Paralegal
Our client is a fast-growing aerospace and space technology company specializing in the development and production of advanced spacecraft platforms and end-to-end space solutions. The company supports complex space missions through spacecraft production, systems integration, testing, launch support, and mission operations.
They are seeking an experienced Corporate & Securities Paralegal to support securities compliance, corporate governance, insider trading administration, and board matters. This is an ideal opportunity for a detail-oriented, proactive professional who thrives in a fast-paced corporate environment and enjoys partnering closely with legal, finance, and other cross-functional teams.
This is an onsite position in the Denver, Colorado area.
Responsibilities
- Assist with establishing and maintaining board and committee meeting calendars
- Support administration of the company's insider trading policy, including trading window calendars and preclearance documentation
- Coordinate compliance training and maintain related records
- Assist with SEC filings, including 10-Ks, 10-Qs, Section 16 filings, and Rule 144 filings, as well as related disclosure control processes
- Prepare and distribute annual Director & Officer Questionnaires and manage completion and follow-up
- Track corporate governance and compliance deadlines
- Coordinate and support the company's annual meeting of stockholders, working with internal stakeholders and external partners
- Compile quarterly legal updates and assist with preparation of board and committee materials
- Coordinate assembly and distribution of board and committee meeting materials, including agendas, board books, resolutions, and minutes
- Assist with reports and presentations for board committees and executive leadership
- Maintain the company's electronic board portal, including minutes, resolutions, and governance materials
- Support internal audit activities, records management, and compliance initiatives
- Research corporate governance trends and best practices
Additional Responsibilities
- Support maintenance of stock ledger and equity management databases
- Gather and track due diligence materials for M&A transactions and financings
- Support subsidiary entity documentation and ongoing corporate compliance
- Assist with special projects and other legal department initiatives as needed
Qualifications
- Bachelor's degree
- 5+ years of corporate and/or securities paralegal experience, ideally including experience supporting proxy seasons
- Strong knowledge of SEC reporting requirements and corporate governance practices
- Experience with board management portals and equity administration platforms is a plus
- Excellent attention to detail and strong organizational skills
- Ability to effectively manage multiple priorities in a fast-paced environment
- Strong written and verbal communication skills
- Ability to work independently, exercise sound judgment, and maintain confidentiality
