Global Alternative Investment Platform - Vice President, Private Fund Attorney

A global alternative investment platform is seeking a Vice President, Private Fund Attorney to join its NYC-based Legal team. This role will focus on U.S. and Cayman private funds and offers broad exposure across fund formation, capital raising, regulatory matters and ongoing fund operations.

This is a highly collaborative position working closely with investment, distribution, and investor relations teams, with visibility across both open-end and closed-end fund structures.

Key Responsibilities:

  • Draft and negotiate private fund documentation, including offering materials, partnership agreements, and related fund documents.
  • Negotiate agreements with fund managers, placement agents, and other distribution counterparties.
  • Advise on legal considerations related to new and existing products, including structuring and regulatory implications.
  • Support capital raising and investor relations efforts, including review of marketing and investor-facing materials.
  • Coordinate with outside counsel across fund formation, regulatory, and transactional matters; assist with regulatory filings and ongoing compliance obligations.

Required Background:

  • J.D. and 3-7 years of experience in fund formation or investment management at a top law firm and/or in-house.
  • Experience drafting and negotiating fund documents, including offering materials, side letters, and placement agreements.
  • Strong knowledge of key regulatory frameworks, including the Investment Company Act of 1940, Investment Advisers Act, Securities Act, and Exchange Act.
  • Strong organizational skills, attention to detail, and ability to manage multiple workstreams; ability to work collaboratively in a fast-paced environment.
