Corporate Paralegal

Position Summary:

We are seeking a detail-oriented and experienced Corporate Paralegal to join a prominant post acute care health system. This role supports the legal department in a wide range of corporate and transactional matters, with a focus on healthcare-related compliance, entity management, and contract administration. The ideal candidate will have at least 2-5 years of experience in corporate law, preferably within the healthcare or post-acute care sector.

Key Responsibilities:

• Draft, review, and manage corporate documents including bylaws, resolutions, and organizational charts.
• Assist with mergers, acquisitions, joint ventures, and other corporate transactions.
• Maintain corporate records and ensure compliance with state and federal filing requirements.
• Support contract lifecycle management, including drafting, reviewing, and tracking agreements.
• Coordinate with internal departments and external counsel on legal and regulatory matters.
• Conduct legal research and summarize findings for attorneys.
• Assist with licensing, regulatory filings, and compliance documentation.
• Prepare materials for board meetings and maintain corporate governance documentation.
• Support litigation and dispute resolution efforts as needed.

Qualifications:

• Minimum of 2-5 years of corporate paralegal experience, ideally in a healthcare or regulated industry.
• Strong understanding of corporate governance, entity management, and transactional processes.
