Corporate Finance Associate Attorney
The Corporate Finance Associate will work closely with partners and senior attorneys on complex financing matters, including leveraged finance, syndicated lending, private credit, mezzanine debt, and other commercial finance transactions. The ideal candidate will have hands-on experience drafting and negotiating core financing documents and managing multiple workstreams in a fast-paced environment.
Key Responsibilities
- Represent lenders, borrowers, private credit funds, and financial institutions in a broad range of corporate finance transactions, including leveraged finance, syndicated loans, asset‑based loans, and private credit facilities.
- Draft, review, and negotiate financing agreements, security documents, intercreditor agreements, guaranties, and ancillary transaction materials.
- Support the structuring and execution of middle‑market, private‑equity‑backed financing transactions.
- Conduct legal due diligence and coordinate with opposing counsel and internal teams.
- Advise clients on commercial, legal, and business considerations in connection with financing structures.
- Manage transaction checklists, timelines, and closing processes.
- Maintain strong client relationships through clear communication, responsiveness, and exceptional service.
Qualifications
- J.D. from an accredited U.S. law school with strong academic credentials.
- 3+ years of experience in corporate finance, leveraged finance, commercial lending, or private credit transactions at an Am Law 200 or comparably sophisticated law firm.
- Experience with middle‑market PE‑backed transactions strongly preferred.
- Excellent drafting, negotiation, and analytical skills.
- Ability to manage multiple matters simultaneously in a fast‑paced environment.
