Overview
A leading rail transportation organization is seeking an experienced Corporate Counsel to support its legal affairs and enterprise risk management initiatives. Reporting to the General Counsel, this role provides legal guidance across a wide range of matters impacting operations, including commercial transactions, real estate, litigation management, and risk mitigation.
The Corporate Counsel will partner closely with executive leadership and cross-functional teams to support business objectives, manage legal exposure, and uphold high standards of legal and operational integrity. This position requires strong business judgment, the ability to navigate complex legal issues, and a collaborative mindset within a highly regulated environment.
Key Responsibilities
Legal Advisory & Commercial Transactions
- Provide legal counsel across the organization on operational and corporate matters
- Draft, review, and negotiate a wide range of agreements, including:
- Service agreements
- Vendor and supplier contracts
- Construction and procurement agreements
- Master service and confidentiality agreements
- Advise cross-functional teams (operations, engineering, finance, HR, IT, compliance, and commercial teams) on legal risks and business transactions
- Partner with senior leadership to evaluate risk, structure solutions, and support strategic initiatives
- Support negotiation and management of agreements with customers, contractors, and vendors
- Provide guidance on real estate matters, including easements, leases, licenses, permits, rights-of-way, and acquisitions/dispositions
- Assist with due diligence for real estate and infrastructure projects
- Proactively identify and resolve disputes before escalation to formal claims or litigation
- Monitor legal and regulatory developments impacting business operations
- Support the development of internal policies and compliance frameworks
Litigation & Claims Management
- Oversee litigation matters, including:
- Personal injury claims (including FELA)
- Property damage claims
- Employment and contract disputes
- Real estate-related matters
- Manage outside counsel, including litigation strategy, budgeting, and settlement negotiations
- Advise internal stakeholders on dispute resolution strategies
- Track litigation activity and provide reporting on exposure and trends
Risk Management
- Support enterprise risk management initiatives by identifying and mitigating legal and operational risks
- Assist in oversight of insurance programs, including coordination with brokers and claims management
- Partner with operational leadership on loss prevention and risk mitigation strategies
Qualifications
- Juris Doctor (JD) from an accredited law school
- Licensed to practice law in at least one U.S. jurisdiction; Florida admission or eligibility for Authorized House Counsel status preferred
- 4-8 years of relevant legal experience, ideally within transportation, logistics, infrastructure, construction, real estate, or other regulated industries
- Proven ability to independently manage legal matters from issue identification through resolution
- Experience advising business leaders and handling commercial transactions
- Exposure to litigation, insurance, or claims management is a plus
- Strong negotiation, communication, and analytical skills
- Ability to work independently while collaborating across teams
Preferred Experience
- Familiarity with transportation or railroad law, including FELA, FRSA, ICCTA, or similar frameworks
- Experience with real estate and infrastructure development matters
- Knowledge of insurance, claims handling, and enterprise risk management
- In-house experience or support of regulated industries
