Corporate Associate
A well-established, growing law firm is seeking an experienced Corporate Associate to join its transactional practice in Nashville, Memphis, Louisville, or Lexington. This is an excellent opportunity for an attorney looking to take on a meaningful role within a sophisticated corporate practice, with significant responsibility, direct client interaction, and long-term growth potential.
Responsibilities
- Represent privately held companies, business owners, investors, and other clients in a broad range of corporate and transactional matters
- Lead and support mergers and acquisitions, joint ventures, reorganizations, and other strategic transactions
- Draft and negotiate purchase agreements, operating agreements, shareholder agreements, and other complex corporate and commercial documents
- Advise clients on entity formation, corporate governance, business structuring, and general corporate matters
- Manage due diligence and coordinate various aspects of transactions from initial structuring through closing
- Work directly with clients and take ownership of matters with appropriate partner oversight
- Collaborate with attorneys across practice areas to provide comprehensive guidance on complex transactions
Qualifications
- 5+ years of corporate and transactional experience
- Experience with M&A and general corporate matters required; additional experience with private equity, securities, commercial transactions, or related areas is a plus
- Ability to independently manage significant components of transactions and effectively oversee junior attorneys when appropriate
- Strong drafting, negotiation, analytical, and communication skills
- Comfortable working directly with clients and managing multiple sophisticated matters simultaneously
- J.D. from an accredited law school
- Admission or ability to become admitted in Tennessee or Kentucky, depending on office location
