Chief Legal Officer
A private renewable energy company focused on utility-scale solar, wind, and battery storage development is seeking a Chief Legal Officer to lead its legal function.
Reporting directly to the CEO, the CLO will serve as a strategic partner to the commercial, development, finance, and operations teams. This role is suited for a senior attorney with direct experience supporting renewable energy projects from land acquisition through project financing and construction.
Responsibilities
- Draft and negotiate site control documents including leases, easements, and purchase options.
- Support permitting and title review, ALTA survey matters, and land use compliance.
- Review and negotiate interconnection agreements with utilities and ISOs.
- Lead legal due diligence and documentation for M&A, tax equity, and debt financings.
- Negotiate partnership, membership interest purchase, and financing agreements.
- Coordinate with outside counsel and internal teams on diligence, closings, and post-closing compliance.
- Handle offtake agreements (PPAs, build-transfer), EPC, BOP, O&M, and equipment supply contracts.
- Manage corporate governance, entity formation, and regulatory compliance.
- Support general corporate matters including HR, insurance, and risk management.
- Manage external counsel and legal budgets.
Requirements
- Juris Doctor from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- 10+ years of legal experience, with a strong focus on renewable energy or infrastructure projects.
- Direct experience supporting project development and financing, including tax equity, debt, and M&A.
- Proven ability to work independently while collaborating across departments and managing external legal.
- Prior in-house experience preferred; candidates with strong law firm backgrounds and demonstrated leadership will also be considered.
