VP/AGC - Securities, M&A, Transactions
A growing publicly traded industrial and advanced technology company is seeking a Vice President, Associate General Counsel to lead a broad range of corporate, securities, governance, and strategic transaction matters. This role will serve as a key legal advisor to executive leadership and partner closely with finance, investor relations, strategy, and business leaders to support the company's growth objectives.
Key Responsibilities
- Lead legal support for mergers, acquisitions, joint ventures, divestitures, strategic investments, and other corporate transactions.
- Advise senior leadership and the Board on corporate governance, securities law, and public company obligations.
- Oversee SEC reporting and disclosure matters, including periodic reports, proxy statements, earnings-related disclosures, and investor communications.
- Support capital markets activities, financing transactions, and other strategic corporate initiatives.
- Conduct legal due diligence, negotiate transaction documents, and manage external counsel.
- Partner with business and functional leaders to identify and mitigate legal, regulatory, and transactional risks.
- Assist with integration planning, post-acquisition matters, and broader corporate development activities.
- Contribute to the continued development of legal processes, governance frameworks, and compliance programs.
Qualifications
- J.D. from an accredited law school and active bar membership.
- Significant experience in corporate law, securities law, M&A, and complex commercial transactions.
- Prior experience in a publicly traded company and/or leading law firm preferred.
- Demonstrated ability to advise executive leadership on strategic business initiatives.
- Strong business judgment, communication skills, and ability to operate in a fast-paced, growth-oriented environment.
