Structured Finance Attorney

We are seeking a skilled Structured Finance Associate Attorney to join a sophisticated legal team focused on complex financial transactions. This role offers the chance to work on high-impact deals involving securitization and structured finance across diverse asset classes.

Key Responsibilities

  • Advise on structured finance transactions, including asset-backed securities, collateralized loan obligations (CLOs), and other securitization structures.
  • Draft and negotiate transaction documents such as offering memoranda, indentures, pooling and servicing agreements, and purchase agreements.
  • Provide guidance on deal structuring, regulatory compliance, and risk management.
  • Conduct due diligence and analyze legal and regulatory issues impacting structured finance deals.
  • Collaborate with internal stakeholders and external parties to ensure timely and efficient execution of transactions.

Qualifications

  • J.D. degree from an accredited law school and admission to a U.S. state bar.
  • 3+ years of experience in structured finance, securitization, or related practice.
  • Strong understanding of securities laws, UCC, and regulatory frameworks applicable to structured finance.
  • Excellent drafting, negotiation, and analytical skills.
  • Ability to manage multiple transactions and deadlines in a fast-paced environment.

Preferred Skills

  • Experience with CLOs, RMBS, CMBS, or other asset-backed products.
  • Familiarity with Dodd-Frank, risk retention rules, and other regulatory requirements.
  • Strong communication and client service orientation.
