Senior Legal Counsel
A rapidly growing private equity-backed energy company, is looking for a Senior Legal Counsel to join its in-house team and support a diverse portfolio of power generation projects, including natural gas, battery storage, and solar. The ideal candidate will provide hands-on legal support for corporate and project-related initiatives, ensuring seamless execution of acquisitions, development efforts, construction projects, and operational activities.
Located in Chicago, IL, this hybrid role involves 4 days on-site, frequent collaboration with cross-functional teams, and travel as needed to generation assets and external stakeholders.
Responsibilities:
Negotiate and draft complex commercial agreements, including PPAs, hedging instruments, EPC, LTSA, and O&M contracts.
Support M&A and project finance transactions through due diligence and closing documentation.
Advise on regulatory compliance under FERC, ISO/RTO tariffs, and NERC standards, including CIP requirements.
Provide guidance on environmental permitting and emissions reporting.
Manage project development legal aspects, including interconnection, site control, and real estate agreements.
Assist with corporate governance, credit frameworks, and insurance programs.
Qualifications:
- Juris Doctor from an accredited law school and active Illinois bar admission (or ability to obtain promptly).
- Minimum 5 years of legal practice with exposure to energy, infrastructure, or complex transactions.
- Strong contract drafting and negotiation capabilities, coupled with organizational excellence.
- Comfortable working cross-functionally under tight timelines.
