Real Estate Paralegal
Job Overview
A growing real estate investment trust (REIT) is seeking an experienced Real Estate Paralegal to support its legal team in the management of commercial leasing matters, real estate transactions, and corporate governance activities. This role will serve as a key partner to attorneys, asset management, leasing, finance, and executive leadership teams by coordinating legal documentation, maintaining corporate records, and assisting with day-to-day legal operations. The ideal candidate will possess substantial experience in commercial real estate and corporate legal support within a REIT, real estate company, law firm, or similar environment.
Key Responsibilities
Leasing & Real Estate Matters
- Draft, review, revise, and administer commercial lease agreements, amendments, renewals, estoppels, SNDA agreements, landlord consents, and related leasing documents.
- Coordinate lease execution processes and maintain organized lease files and electronic databases.
- Monitor critical lease dates, notice requirements, renewal options, and tenant obligations.
- Support legal counsel and leasing teams in the negotiation and documentation of tenant and landlord matters.
- Assist with due diligence for acquisitions, dispositions, financings, and portfolio transactions.
- Review title, survey, zoning, and property due diligence materials and coordinate resolution of legal issues.
- Manage document collection and closing deliverables for real estate transactions.
- Serve as a liaison among outside counsel, leasing teams, asset managers, lenders, title companies, and tenants.
Corporate Governance & Entity Management
- Maintain corporate records, organizational documents, governance records, and entity management databases.
- Prepare board, committee, and shareholder materials, including resolutions, consents, minutes, and meeting documentation.
- Assist with annual entity maintenance, state registrations, qualification filings, and corporate compliance requirements.
- Coordinate corporate filings and support legal review of governance-related matters.
- Support the administration of subsidiary entities, joint ventures, and affiliated partnerships.
- Assist with implementation and maintenance of corporate policies and record-retention procedures.
Qualifications
- Associate's or Bachelor's degree preferred.
- Paralegal Certificate from an ABA-approved or accredited program required.
- Minimum of 5 years of relevant paralegal experience supporting commercial real estate transactions, leasing, corporate governance, or related legal matters.
- Experience supporting a REIT, real estate owner/operator, commercial real estate developer, investment firm, or law firm real estate practice preferred.
- Strong knowledge of commercial leasing terminology and transaction documentation.
- Familiarity with corporate governance processes, board support, and entity management.
- Experience reviewing title, survey, and due diligence materials is preferred
