PE/M&A Attorney
A Chambers-ranked Corporate and Private Equity practice is seeking a talented Private Equity / M&A Associate to join its growing team. This is an excellent opportunity to work alongside market-leading attorneys representing private equity sponsors, portfolio companies, strategic buyers, and sellers in sophisticated middle-market and large-cap transactions across a variety of industries.
PE/M&A Attorney Responsibilities:
- Represent private equity sponsors, portfolio companies, strategic buyers, and sellers in mergers, acquisitions, divestitures, and other complex corporate transactions.
- Draft, review, and negotiate purchase agreements, merger agreements, rollover agreements, disclosure schedules, and ancillary transaction documents.
- Conduct and coordinate legal due diligence reviews and assist in identifying and addressing transaction-related risks.
- Advise clients throughout all stages of a transaction, from structuring and letter of intent negotiations through closing and post-closing matters.
- Collaborate with attorneys across tax, finance, labor and employment, intellectual property, executive compensation, and other specialty practice areas to support deal execution.
- Assist private equity sponsors with platform acquisitions, add-on acquisitions, portfolio company management, and exit transactions.
- Manage transaction timelines, coordinate deal teams, and maintain direct client contact throughout the deal process.
- Provide practical, business-focused advice to clients regarding legal, operational, and strategic considerations.
PE/M&A Attorney Qualifications:
- J.D. from an accredited law school with strong academic credentials.
- 3+ years of private equity, mergers and acquisitions, or general corporate transactional experience at a law firm.
- Experience drafting and negotiating transaction documents and managing key aspects of M&A transactions.
- Familiarity with private equity-sponsored transactions, portfolio company acquisitions, and corporate governance matters is preferred.
- Strong analytical, drafting, negotiation, and project management skills.
- Ability to effectively manage multiple matters and deadlines in a fast-paced transactional practice.
- Licensed and in good standing in the applicable jurisdiction or eligible for admission.
