M&A Counsel
Overview
A global, privately held manufacturer of engineered materials is seeking an M&A Counsel to support its active growth strategy. This role will partner closely with senior leadership on domestic and cross-border acquisitions, divestitures, and strategic investments, while also advising on broader corporate matters.
*This is a contract-to-hire opportunity. The position is remote, though candidates must be located in Georgia.
Key Responsibilities
- Lead legal support for M&A transactions, including acquisitions, divestitures, joint ventures, and minority investments
- Draft, review, and negotiate transaction documents (LOIs, NDAs, purchase agreements, disclosure schedules, ancillary agreements)
- Manage due diligence processes, coordinating with internal stakeholders and external advisors
- Advise on transaction structuring, risk allocation, and integration considerations
- Support post-closing integration activities and ongoing governance matters
- Partner with business and finance teams on strategic initiatives and corporate development efforts
- Oversee and manage external counsel to ensure efficient deal execution
Qualifications
- J.D. from an accredited law school and active bar membership
- 5-10+ years of M&A experience, preferably from a top law firm and/or in-house with a multinational company
- Strong experience handling complex, cross-border transactions
- Background supporting manufacturing, industrial, or materials-based businesses preferred
- Demonstrated ability to manage deals independently and operate in a fast-paced environment
