M&A Counsel
Key Responsibilities
- Assist in drafting and reviewing NDAs, term sheets, LOIs, ancillary agreements, and portions of purchase agreements.
- Support senior counsel in negotiations by preparing materials, coordinating follow‑ups, and tracking open issues.
- Help manage transaction checklists, timelines, and closing processes.
Due Diligence
- Perform targeted legal due diligence, including reviewing corporate documents, customer/vendor contracts, compliance reports, intellectual property assets, and employment agreements.
- Prepare diligence summaries and help identify potential risks or open questions for senior attorneys.
Cross‑Functional Coordination
- Partner with Corporate Development, Finance, HR, IT, and Operations to gather information and facilitate diligence.
- Communicate effectively with internal stakeholders to ensure smooth execution and timely delivery of materials.
- Assist in coordinating with outside counsel and third‑party advisors as needed.
Post‑Closing Activities
- Provide support on integration tasks, including contract assignments, governance updates, compliance onboarding, and document management.
- Maintain organized records of closing materials and corporate documents.
Research & Compliance
- Conduct legal research related to corporate, regulatory, privacy, and industry‑specific issues that may impact transactions.
- Monitor developments in corporate law and M&A trends and brief senior counsel as needed.
Qualifications
- J.D. from an accredited law school and admitted to practice in at least one U.S. jurisdiction.
- 4+ years of experience in corporate, transactional, or M&A work (law firm or in‑house).
- Strong legal research, writing, and organizational skills.
- High attention to detail and ability to manage multiple projects simultaneously.
- Curiosity, eagerness to learn, and comfort working in a fast‑paced environment.
