My client is a leading US law firm with a well‑regarded Fund Formation & Investment Management practice advising both sponsors and institutional investors across the private funds space. The team offers a full‑service platform, supporting clients across fundraising, structuring, regulatory and liquidity matters, and is recognised for its depth of experience across private equity, venture capital and alternative strategies.
The group regularly advises a broad range of market participants, including sponsors, public and private pension plans, endowments, foundations and funds‑of‑funds, and is known for its sophisticated work on secondary transactions and GP‑led restructurings.

The Role
This role will suit a 2-6 year fund formation lawyer with experience across private funds and investment management matters. You will be working closely with partners and senior lawyers on a variety of fund formation and strategic investor matters, with increasing responsibility and direct client exposure.
The position offers strong training, broad deal exposure and the opportunity to develop within a growing and well‑integrated team.
Responsibilities
Advising sponsors and investors on private investment funds, including:
- Private equity and venture capital funds
- Alternative investment strategies
- Fund structuring and management arrangements
Drafting, reviewing and negotiating key fund documentation, including:
- Limited partnership agreements
- Private placement memoranda
- Subscription agreements and side letters
- Management and related agreements
Advising on broader investment management matters, including:
- Secondary sales of LP interests (buy‑ and sell‑side)
- GP‑led restructurings and liquidity solutions
- Regulatory and compliance considerations
Qualifications
- Admitted to the New York Bar (or ability to become admitted)
- 2-6 years' experience in fund formation and/or investment management from a reputable law firm
- Experience across fund structuring and investor negotiations
- Familiarity with regulatory frameworks, including the Investment Advisers Act and Securities Act
- Strong drafting skills, attention to detail and a proactive, team‑oriented approach
