Energy Tax Associate Attorney

we are currently partnered with a leading AmLaw100 firm who is seeking an Energy Tax Attorney to join its growing energy and infrastructure practice. This attorney will advise clients on complex federal income tax matters related to renewable energy, energy transition, and infrastructure investments, with a particular focus on tax equity, tax credit transactions, and project finance structures. The role offers the opportunity to work on sophisticated, high‑profile transactions for developers, sponsors, and institutional investors across the energy sector.

Key Responsibilities

* Advise clients on federal income tax issues related to renewable energy and energy infrastructure projects, including transactions involving investment tax credits, production tax credits, and transferable tax credits.
* Structure, draft, and negotiate tax equity and project finance transactions, including partnership agreements, equity contribution agreements, credit transfer agreements, financing documents, and related ancillary agreements.
* Provide tax planning and structuring advice for renewable energy projects such as solar, wind, storage, hydrogen, and other emerging technologies.
* Prepare and review tax opinions and memoranda in connection with energy‑related transactions and financings.
* Conduct tax and transactional diligence for energy and infrastructure acquisitions, financings, and restructurings.
* Collaborate closely with corporate, finance, real estate, and regulatory attorneys to deliver integrated, practical solutions to clients.
* Monitor and analyze legislative, regulatory, and IRS guidance affecting energy tax credits and incentives, and advise clients on evolving compliance and structuring considerations.
* Engage directly with clients, investors, and counterparties, managing matters with increasing autonomy as experience level permits.

Qualifications

* J.D. from an ABA‑accredited law school.
* Active bar admission in at least one U.S. jurisdiction (or ability to obtain promptly).
* 2-6+ years of experience practicing in energy tax, tax equity, project finance, or a related transactional tax practice at a law firm or accounting firm.
* Strong knowledge of federal income tax principles, particularly as applied to partnerships and energy‑related investments.
* Experience drafting and negotiating complex transactional documents.
* Excellent analytical, writing, and communication skills.
* Ability to manage multiple matters in a fast‑paced, collaborative environment.
