Position Summary
We are seeking a senior-level attorney with 7+ years of experience to support the drafting, review, and negotiation of complex technology agreements. This role will focus heavily on intellectual property licensing, semiconductor-related commercial transactions, and strategic technology partnerships. The ideal candidate will have significant experience within the semiconductor industry, particularly supporting fabless semiconductor companies, semiconductor IP providers, or related technology businesses.
This is an opportunity to join a collaborative legal team and provide strategic counsel on high-impact transactions that directly support business growth and innovation.
Key Responsibilities
- Draft, review, revise, and negotiate IP licensing agreements and related commercial terms, including usage rights, warranties, indemnification, support obligations, and other key provisions.
- Support a variety of technology transactions, leveraging legal, technical, and business expertise to achieve favorable outcomes while mitigating risk.
- Prepare and negotiate agreements involving semiconductor technology, custom silicon development, electronic design automation (EDA) tools, design IP, software, procurement, development, and licensing matters.
- Partner cross-functionally with business, engineering, and commercial teams to provide practical legal guidance on technology-related initiatives.
- Ensure compliance with applicable legal, regulatory, and corporate requirements.
Qualifications
- J.D. from an accredited U.S. law school (or equivalent legal qualification).
- 7+ years of legal experience, including substantial technology transactions expertise.
- At least 5 years of experience drafting and negotiating technology agreements within the semiconductor industry, including experience supporting fabless semiconductor companies, semiconductor IP providers, or similar organizations.
- Strong understanding of semiconductor technologies, integrated circuits, and industry terminology.
- Knowledge of semiconductor business models and the broader semiconductor ecosystem.
- Demonstrated expertise in intellectual property licensing and technology-focused commercial transactions.
- Excellent written, verbal, and interpersonal communication skills.
Preferred Qualifications
- Experience supporting foundry-service organizations and their relationships with fabless semiconductor companies.
- Technical degree in engineering, computer science, semiconductor technology, or a related discipline.
- Familiarity with semiconductor design, manufacturing, and licensing business models.
