Key Responsibilities
Advise on a wide range of venture debt and private credit transactions for both lenders and high-growth companies, including:
- Representation of private credit funds, lenders, and emerging growth companies in venture debt and structured financing transactions
- Structuring and negotiating a variety of loan facilities, including:
- Asset-backed facilities
- Term loans (including delayed-draw and acquisition financings)
- Working capital and receivables financings
- Drafting and negotiating core documentation, including credit agreements, security agreements, intercreditor agreements, subordination agreements, and commitment papers
- Advising on complex capital structures, including multi-tier and hybrid debt/equity arrangements
- Supporting transactions that combine venture debt with equity components (e.g., warrants, bridge rounds, and growth financings)
- Working on domestic and cross-border financing transactions, including single-lender and syndicated deals
- Engaging early at the term sheet stage and managing transactions through closing
- Advising on ongoing credit matters, including amendments, waivers, refinancings, and restructuring scenarios
Take lead responsibility on drafting, negotiation, and execution of financing transactions.
Provide strategic, commercially focused advice to both lenders and borrowers, with direct exposure to clients and deal economics.
Work closely with entrepreneurial clients and investors at the cutting edge of the venture ecosystem, in a highly collaborative and fast-moving environment.
Maintain ownership over workstreams and client relationships, with strong visibility into the business side of each engagement.
Qualifications
- J.D. from an accredited law school
- Admission to the New York Bar (or the ability to waive into NY)
- Admission to the Delaware Bar is a plus but not required
- 3+ years of experience in debt finance, private credit, leveraged finance, or venture debt transactions
- Experience representing lenders, credit funds, or high-growth companies in financing transactions
- Strong experience drafting and negotiating credit and loan documentation
- Exposure to venture-backed companies, private equity structures, or hybrid debt/equity deals is highly preferred
- Excellent commercial judgment with the ability to advise on structuring and risk allocation
- Self‑motivated, highly organized, and eager to take ownership of matters and client relationships in a lean, entrepreneurial environment
