Corporate Counsel
The Opportunity
Our client is seeking a Corporate Counsel to join its legal team. This role offers the opportunity to partner directly with business leaders, project teams, and contract professionals on a variety of legal and commercial matters.
The ideal candidate will have a strong background in construction law, experience independently negotiating subcontract agreements, and familiarity with AIA contract forms. This position is well-suited for an attorney who enjoys being closely integrated with the business and serving as a practical, solutions-oriented legal advisor.
Key Responsibilities
- Provide day-to-day legal support to business stakeholders on construction-related legal and commercial matters.
- Draft, review, negotiate, and manage a wide range of subcontract agreements, vendor contracts, and commercial arrangements.
- Advise project teams on contract interpretation, risk allocation, and dispute avoidance strategies.
- Review and negotiate contracts utilizing AIA forms and other industry-standard construction agreements.
- Partner with operational and executive leadership to identify and mitigate legal and business risks.
- Assist with claims management, dispute resolution, and coordination with outside counsel when necessary.
- Develop practical legal guidance and training materials for internal stakeholders.
- Support strategic initiatives and other corporate legal matters as needed.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- Licensed to practice law and in good standing.
- Approximately 5-8 years of legal experience in a law firm or in-house environment.
- Significant experience supporting construction, engineering, infrastructure, or related industries.
- Demonstrated ability to independently negotiate and manage subcontract agreements.
- Strong familiarity with AIA contract forms and construction contracting principles.
- Experience evaluating contractual risk and providing practical business-focused legal advice.
- Excellent communication, negotiation, and relationship-building skills.
- Ability to manage multiple projects and work effectively in a fast-paced environment.
- Strong analytical and problem-solving capabilities.
