The Opportunity
Our client is seeking a Senior Counsel to join its legal team and serve as a trusted advisor to executive leadership. This position will work closely with senior legal leadership while supporting business stakeholders on complex legal issues involving environmental compliance, regulatory proceedings, corporate governance, commercial transactions, litigation management, and real estate matters.
This role offers a unique opportunity to gain visibility across the organization, interact with executive leadership and board members, and contribute to key legal and business initiatives within a highly regulated industry.
Key Responsibilities
- Provide legal counsel to business leaders on regulatory, corporate, environmental, contractual, and operational matters.
- Represent the organization before regulatory agencies, governmental bodies, administrative tribunals, and courts as needed.
- Draft, review, negotiate, and interpret a variety of commercial contracts, service agreements, and real estate documents.
- Advise stakeholders on environmental compliance obligations and legal risks associated with environmental matters.
- Support corporate governance initiatives through the review of board materials, resolutions, policies, and governance documents.
- Attend and provide legal guidance during board and committee meetings.
- Monitor legislative, regulatory, and industry developments that may impact business operations.
- Manage litigation matters, claims, disputes, and relationships with outside counsel.
- Advise internal stakeholders on risk management initiatives, corporate policies, and legal compliance requirements.
- Prepare legal memoranda, reports, presentations, and recommendations for senior management and board-level audiences.
- Collaborate with cross-functional teams to address legal issues and support strategic business objectives.
- Assist with legal department budgeting, planning, and management of external legal resources.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- Licensed attorney in good standing with at least 5 years of legal experience.
- Strong experience advising on environmental law and environmental compliance matters.
- Experience appearing before state or federal regulatory agencies, administrative bodies, or courts.
- Demonstrated experience drafting, negotiating, and reviewing complex commercial agreements.
- Knowledge of corporate governance, board-related matters, and corporate legal compliance.
- Familiarity with utility, energy, infrastructure, regulatory, administrative, or commercial legal matters.
- Experience advising executives and business leaders on legal risk, strategic decision-making, and compliance considerations.
- Strong analytical, research, communication, and problem-solving abilities.
- Ability to manage multiple legal matters concurrently while partnering effectively with cross-functional teams.
- Experience overseeing outside counsel, consultants, or external legal service providers is preferred.
- Experience within a regulated industry is highly desirable.
